Acceptance of Terms

By accessing or using LawCoach AI (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

Section 2

Description of Service

LawCoach AI is an AI-powered educational study tool designed to help law students practice exam-taking skills. The Service includes:

  • Practice Sessions: Structured study modules where you respond to AI-generated legal hypotheticals, multiple-choice questions, and essay prompts, and receive AI-generated feedback. A "Practice Session" means one complete interaction cycle: receiving a question, submitting your answer, and receiving AI feedback.
  • Conversational Coaching: AI-driven dialogue that helps you work through legal concepts, identify weaknesses, and develop exam strategies.
  • Weakness Tracking: Automated analysis of your performance to identify subjects and topics where you need additional practice.
  • Free and Paid Tiers: The Service offers a free tier with limited features and paid subscription tiers with expanded access. All provisions of these Terms apply to both free and paid users unless otherwise stated.

Features, functionality, and content may change at our discretion.

Section 3

NOT Legal Advice

THE SERVICE DOES NOT CONSTITUTE LEGAL ADVICE. No attorney-client relationship, attorney-client privilege, or work product protection is created by using this Service. The AI-generated content is for educational and practice purposes only. You should not rely on the Service as a substitute for professional legal counsel, official legal research tools, or your own independent study. If you need legal assistance, consult a licensed attorney in your jurisdiction.

Section 4

Eligibility and Accounts

You represent that you are at least 18 years old and capable of entering into a binding contract. If you are under 18, you may not use the Service.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to:

  • Use a strong, unique password
  • Enable multi-factor authentication if available
  • Notify us immediately at security@lawcoach.ai of any unauthorized access
  • Not share your account with other users

LawCoach AI is not liable for losses resulting from your failure to protect your credentials.

Section 5

AI Accuracy Disclaimer

The Service uses artificial intelligence models (accessed via Vercel AI Gateway) to generate content, including practice questions, feedback, and coaching responses. AI technology has inherent limitations:

  • AI may produce inaccurate, incomplete, or misleading legal analysis
  • AI may generate incorrect rule statements or fabricated case citations
  • AI feedback may not reflect the grading standards of your specific professor or institution
  • AI may not be current with the latest statutory changes or case law developments
  • AI may produce different responses to identical inputs across sessions

You are solely responsible for independently verifying all legal rules, analysis, and citations through authoritative sources before relying on them. This notice satisfies transparency requirements under applicable AI regulation frameworks, including the EU AI Act, regarding AI-generated content and its limitations.

Section 6

Acceptable Use

You agree NOT to:

  • Upload confidential, privileged, or attorney-client protected materials
  • Upload materials protected by copyright without authorization (including proprietary exam questions from Barbri, Themis, Kaplan, or any other commercial provider)
  • Use the Service to generate content for submission as your own original work in violation of your institution's honor code or academic integrity policies
  • Use the Service to provide legal advice to third parties
  • Attempt to extract, scrape, or reverse-engineer the AI models or prompts
  • Use automated tools, bots, or scrapers to access the Service
  • Circumvent access controls or security measures
  • Transmit malware, viruses, or harmful code
  • Use the Service for any unlawful purpose

Honor Code Notice:Many law schools have policies regarding the use of AI tools. It is your responsibility to review and comply with your institution's honor code and academic integrity policies before using this Service.

Enforcement. We may take the following actions for violations, depending on severity:

  • Warning: Written notice of the violation and required corrective action
  • Suspension: Temporary restriction of account access (typically 7–30 days)
  • Termination: Permanent account closure for repeated or severe violations
  • Preservation and Reporting: We may preserve evidence and report illegal activity to authorities or your institution

Before permanent termination (except for illegal activity or imminent harm), we will provide written notice and a reasonable opportunity to respond. You may appeal enforcement actions by emailing legal@lawcoach.ai within 14 days.

Section 7

User Content

You retain ownership of any content you submit to the Service ("Your Content"). By submitting Your Content, you grant LawCoach AI a limited, non-exclusive, royalty-free license to process it solely for the purpose of providing the Service to you.

We do NOT use Your Content to train our AI models unless you explicitly opt in to such use through a separate, clearly labeled consent mechanism in your account settings. You may withdraw that consent at any time. See our Privacy Policy for details on how opt-in data is handled.

Section 8

DMCA Takedown Procedure

If you believe content on the Service infringes your copyright, submit a DMCA takedown notice to our designated agent:

Your notice must include:

  • Your name, address, and contact information
  • Identification of the copyrighted work allegedly infringed
  • The URL or location of the allegedly infringing content on the Service
  • A statement of good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act
  • Your physical or electronic signature

We will investigate and respond within 10 business days. Repeat infringers are subject to account termination.

Section 9

Subscription and Payment

Billing. Paid subscriptions are processed through Stripe. By purchasing a paid plan, you agree to Stripe's terms of service. Plus and Pro Monthly renew automatically unless cancelled. Semester Pass is a one-time upfront purchase for 4 months of access. You may manage recurring subscriptions through your account settings or the Stripe billing portal.

Refund Policy. Refunds are available within 7 days of initial purchase if you have not completed more than 3 Practice Sessions (as defined in Section 2). After that period, no refunds will be issued for the current billing cycle or one-time access period. Upon cancellation, you retain access through the end of your paid period unless the payment is fully refunded or reversed.

Free Tier. The free tier is provided at no cost with limited features and may be modified or discontinued at any time without notice.

Section 10

Termination

By You. You may terminate your account at any time through your account settings or by emailing support@lawcoach.ai.

By LawCoach AI.

  • For Cause: We may suspend or terminate your account immediately for violation of these Terms, abuse, illegal conduct, or conduct endangering the Service or other users. No refund is provided for termination for cause.
  • For Convenience: We may discontinue the Service or your access with 30 days' written notice. You will receive a pro-rata refund of prepaid fees for unused subscription time (calculated daily).

Upon termination, your data will be handled as described in Section 7 of our Privacy Policy (Data Retention). You may request data export before account deletion.

Section 11

Service Availability

The Service is provided without guaranteed uptime. We aim to maintain continuous availability but may experience planned maintenance, unplanned outages, or performance degradation. We will provide notice of scheduled maintenance when practicable. We are not liable for interruptions to the Service except as required by law.

Section 12

Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL LAWCOACH AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR ACADEMIC OUTCOMES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

SPECIFICALLY, WE ARE NOT RESPONSIBLE FOR: (A) ANY EXAM OR BAR EXAM RESULTS; (B) ACADEMIC CONSEQUENCES ARISING FROM USE OF THE SERVICE; (C) INACCURATE AI-GENERATED LEGAL ANALYSIS; OR (D) DECISIONS MADE BASED ON SERVICE OUTPUT.

Carve-Outs. These limitations do not apply to: (i) liability arising from our gross negligence or willful misconduct; (ii) breaches of our data protection obligations under applicable law; (iii) claims that cannot be limited or excluded under the mandatory laws of your jurisdiction (including EU consumer protection laws).

Section 13

Indemnification

You agree to indemnify and hold harmless LawCoach AI and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; (c) your infringement of third-party intellectual property or privacy rights; or (d) Your Content. This obligation survives termination.

Section 14

Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms.

EU and International Users. If you are located in the European Union or another jurisdiction with data protection laws (GDPR, UK GDPR, etc.), you retain all rights granted under applicable law regardless of these Terms. This includes the right to access, correct, delete, restrict processing, and port your data.

Section 15

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, United States, without regard to its conflicts of law principles.

For US Users. You submit to the exclusive jurisdiction of the state and federal courts in New York County, New York, subject to the arbitration provision in Section 16.

For EU/EEA Users. You may also bring claims in the courts of your member state of residence. Mandatory consumer protection laws of your jurisdiction apply notwithstanding this provision.

Section 16

Dispute Resolution and Arbitration

Mutual Arbitration Agreement. You and LawCoach AI agree that any dispute arising from these Terms or the Service shall be resolved by binding arbitration before a single arbitrator under the American Arbitration Association (AAA) Consumer Arbitration Rules.

Terms:

  • Arbitration may be conducted in New York County, New York, or remotely at your election
  • LawCoach AI will pay all AAA filing and arbitrator fees for claims under $10,000; for claims over $10,000, costs are split equally unless the arbitrator orders otherwise
  • The arbitrator may award any relief available in court
  • The award is final and binding

Small Claims Carve-Out.Either party may pursue claims in small claims court in your jurisdiction instead of arbitration, provided the claim falls within the court's jurisdictional limits.

Injunctive Relief. Either party may seek injunctive relief in court to prevent irreparable harm.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@lawcoach.ai within 30 days of first accepting these Terms. Include your name, email, and a clear statement that you opt out of arbitration. If you opt out, disputes proceed in court under Section 15.

Class Action Waiver. You agree to resolve disputes with LawCoach AI on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Severability. If the class action waiver is found unenforceable, the entire arbitration agreement shall be void and disputes shall proceed in court under Section 15. If any other portion of this section is unenforceable, that portion is severed and the remainder stays in effect.

Section 17

Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. "Material changes" include modifications to pricing, data practices, dispute resolution, liability limits, or core service features. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with material changes, you may terminate your account before they take effect.

Section 18

Third-Party Links and Services

The Service may contain links to third-party websites and resources. We are not responsible for their content, privacy practices, or terms. Your use of third-party services is governed by their own terms and policies.

Section 19

General Provisions

Severability. If any provision of these Terms is found invalid or unenforceable, it shall be reformed to the minimum extent necessary, and the remaining provisions remain in full force.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LawCoach AI regarding the Service.

Waiver. Failure to enforce any right does not constitute a waiver of that right.

Assignment. You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets, with notice to you.
